Delimixx Terms of Use

Last updated: [publication-date]

1. About these terms

These terms set the conditions for using the software "Delimixx" (the "Software"), provided by Quintastella, a sole proprietorship in Japan ("we", "us"). You agree to these terms when you accept them in the installer, or, if you use the ZIP version, when you start the Software. If an administrator installs the Software silently on your computer (the installer's quiet mode, which shows no screen), the administrator accepts these terms for the installation and is responsible for making them known to the users.

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. When you buy a paid license, Paddle sells it to you as the Merchant of Record and your purchase contract is with Paddle. Payment, invoicing, taxes, cancellation and refunds are handled under Paddle's Checkout Buyer Terms and its refund process, together with our Refund Policy. Purchases are in principle not refundable. Refunds follow Paddle's Refund Policy: as an exception, within 14 days of a payment you can ask Paddle for a refund; Paddle decides each request, and a request does not guarantee a refund, except where the law gives you a right to one. Refunds are requested through Paddle; we do not process them directly.

2. The Software and its editions

  • The Software has a Free edition, which needs no activation, and a Pro edition, which is available with a paid license.
  • Prices are shown on our Pricing page and again by Paddle at checkout.
  • You may use the Free edition for personal and business use, at no charge.
  • We provide the Free edition "as is". We may change or stop it, with or without notice.
  • Pro goes on sale with the full release; until then, the Software you can download is the Free prototype build.

3. License

  • We grant you a non-exclusive, non-transferable right to use the Software.
  • One paid license is for one person. For personal use, there is no limit on the number of devices.
  • Business use is allowed. Whoever uses Pro for work, whether freelance, contract or company work, on their own computer or a company one, needs their own license. If several people in a company or team use Pro, each of them needs a license.
  • We sell licenses to individual buyers only. We do not currently offer bulk purchase, invoicing, company contracts or per-seat licenses.

4. Subscriptions and one-time purchases

Sections 4 and 5 describe Pro, which is not on sale yet. The current prototype build (Free only) contains no license keys, no revoked-key list and no renewal check.

  • One-time (Pro): you may use the features of the purchased edition with no expiry date. It is a perpetual license.
  • Subscription (Pro, monthly or yearly): you may use the features while the subscription is active. You can cancel at any time, and you keep access until the end of the period you paid for. When a subscription ends, Pro features stop and the Software returns to the Free edition. Your files and data are never changed, and opening and saving remain available in Free.
  • Subscription keys expire; one-time keys do not. A monthly or yearly Pro key has an expiry date. After it passes, if the subscription has been paid, the Software obtains a new key online automatically within 14 days, so you do not need to paste a new key (see section 5). If no new key can be obtained within those 14 days, the key lapses and the Software returns to Free; your files and data are not touched. If you cancel, no new key is issued: Pro ends no later than 14 days after the key's expiry date (the end of the paid period). If payment resumes, pressing the "Check again" button on the License page in Settings turns Pro on again. A one-time (perpetual) key has no expiry date and never performs this check.
  • If we change prices or plans, features you already have under a license you bought will not be switched off because of it: a one-time license keeps working for its edition, and a subscription keeps working until the end of the period you paid for. A price change applies to new purchases and renewals.
  • "No expiry" means a right to keep using the Software in the environment that was current when you bought. If a newer version of the Software is released, you may download and use it with your one-time license; we do not prevent this, but except where the law requires otherwise, we do not promise to release updates or fixes, or that the Software will run on future operating systems.
  • Supported systems are current 64-bit versions of Windows. The supported versions are listed on the Download page.

5. License activation (Pro)

  • Pro requires a license key. The key contains the name (or email address) of the license holder and the plan, and, for a subscription, an expiry date. We sign it, and the Software verifies the signature offline with a public key. Activation needs no internet connection, and no device ID or other data is sent. (Automatic renewal of a subscription key is described in the next point.)
  • Automatic renewal of subscription keys. Before a subscription key's expiry date, the Software does not contact any server for this purpose. After the expiry date has passed, for 14 days, the Software looks for a renewed key when it starts and, while it keeps running in the system tray, every 6 hours. In that check it sends only the key's identifier (an opaque ID contained in the key). It does not send a device ID, your name or your email address. The connection exposes your IP address, which the server may retain in ordinary connection records. The renewal server confirms the payment status with Paddle and, if the subscription has been paid, returns a new signed key, which the Software applies automatically. Free and one-time licenses never perform this check. It is separate from the update check and from the revoked-key list below.
  • Update checking is off by default. When you enable it or select "Check for updates", the Software checks a public server for a newer version. Separately, while a Pro license is in use, the Software downloads a small signed list of revoked license keys about once every 7 days (Free never does, because Free makes no connection unless you turn on the update check). Neither of these is the renewal check above. The requests contain no device ID or identifying license information, but the connection exposes your IP address, which the server may retain in ordinary connection records. Revocation takes effect only after the Software downloads a list containing it. A revoked key no longer unlocks Pro, and the Software returns to Free. Your files and data are not changed or deleted.
  • The Software does not keep asking you to buy, and it never closes itself.

6. What you may not do

  1. Redistribute, resell, rent out or publish the Software or a license key.
  2. Share a license key with others, or publish it so that others can use it.
  3. Circumvent, tamper with or interfere with the activation mechanism.
  4. Reverse engineer, decompile or disassemble the Software, except where the law allows it.
  5. Use the Software for an unlawful purpose or to infringe the rights of others.
  6. Collect or publish personal information without a lawful basis, including impersonation and public shaming.
  7. Place excessive load on our services or those of third parties.

7. Intellectual property and open source

  • The Software and its intellectual property belong to us or to those who license it to us. These terms do not transfer ownership of the Software to you.
  • The Software includes open-source and other third-party components, each under its own license. See the Open-source notices and the THIRD-PARTY-NOTICES.txt file shipped with the Software.
  • Your files and data belong to you. We acquire no rights to them.

8. Data and backups

The Software has features such as an automatic backup before saving, but we cannot guarantee that data will never be lost or damaged. Please keep separate backups of important data. Delimixx does not transmit file contents or application usage data and has no telemetry. Offline activation, optional update checks, the revoked-key list that the Software downloads while a Pro license is in use, the renewal check for an expired subscription key, local storage and purchase-related information handling are described in the Privacy Policy.

9. No warranty; limit of liability

  • The Software is provided "as is". We do not promise that it will suit a particular purpose, or that it will run without interruption or errors. If a defect in the Pro edition is our responsibility, we will try to fix it in an update, or you may ask Paddle for a refund under the Refund Policy. Apart from that, and except where we, or anyone we use to perform our obligations, acted with intent or gross negligence, our liability for defects is limited as set out in this section.
  • Except where we, or anyone we use to perform our obligations, acted with intent or gross negligence, our total liability to you for all claims arising from the Software or these terms is limited to the greater of (a) the total amount you paid for the Software (for a subscription, the amount you paid in the 12 months before the event that caused the damage) and (b) 5,000 yen. If you use the Free edition and have paid nothing, the limit is 5,000 yen. This limit does not apply to any liability that the law does not allow us to limit.
  • Except where we, or anyone we use to perform our obligations, acted with intent or gross negligence, we are not liable for damages that could not normally be expected to result from the problem, such as lost profits, lost business or the cost of work that was interrupted.
  • Before you rely on the Software for work, please keep backups and check the results, for example saved or converted files. You are responsible for that.
  • Nothing in these terms limits rights that you have as a consumer under the mandatory laws of the country or region where you live, including, for consumers in Japan, the Consumer Contract Act. If a part of this section is void under such a law, the rest of this section still applies.

10. Ending the license

  • We may revoke your license if you seriously breach these terms, if a payment is not made, or if we suspect fraud.
  • After a full refund, or after a chargeback is finalized against us, the associated license key is revoked. The Software applies the revocation when it next downloads a signed list containing it. Until then, the key may continue to work. A partial refund does not revoke the key.
  • We may revoke a shared or published license key after human review of the individual case. The rightful owner will receive a replacement key (with a new key ID). If a revocation is cancelled, we remove the key from the list, and pressing Check again on the License page brings Pro back. Report leaked keys to support@delimixx.com; we do not offer rewards for reports. Revocation takes effect in the Software only after it downloads a signed list containing that revocation.
  • A subscription key that is not renewed within 14 days after its expiry date lapses (see sections 4 and 5). This is not a revocation: if payment resumes, pressing the "Check again" button on the License page in Settings turns Pro on again.
  • After revocation, the Free features and your data remain available.

11. Changes to these terms

If we change these terms, we will announce the change and the date it takes effect on this page, and update the date above. For a material change, we will announce it at least 14 days before it takes effect, and where we can, in the Software as well. If you keep using the Software after a change, you accept the new terms, except where the law requires something else.

12. Governing law

These terms are governed by the laws of Japan. This does not take away the protection of mandatory consumer laws of the country or region where you live as a consumer.
